签订购房定金合同时应注意以下内容:一、审查主合同的效力定金合同是主合同的从合同,主合同无效,则定金合同无效。定金合同属于担保合同的一种,根据《担保法》的规定,担保合同是主合同的从合同,主合同无效,担保合同无效。因此在签订定金合同时应注意审查主合同是否有效,以保证所签订的定金合同有效。二、合同签订时主体定金合同签订时的主体应当与主合同的签订主体保持一致,因定金合同是主合同的从合同,主体不一致,定金合同无法起到担保的性质。三、定金合同应当以书面的形式签订根据《担保法》第九十条的规定,定金应当以书面形式约定。四、应当在合同中约定明确的交付期限合同当事人应在定金合同签订之日起一定期限内交付定金,交付定金的期限就是定金合同的履行期限,因此在约定交付定金的期限时,必须明确、具体。五、应当在合同中明确约定交付的方式定金合同从实际交付定金之日起生效,所以合同当事人应当在定金合同中约定交付定金的方式,比如通过现实的货币支付还是银行支付。如果是以银行支付的方式必须以收到交易凭证视为交付。六、定金的数额必须在合同标的额的20%以内约定,超过的部分不受法律保护定金合同中定金的具体数额,由双方当事人协商确定。若定金的数额约定过高,就有可能使得守约方获得的损害赔偿过分地高于其实际损失额;若约定过低,则起不到担保合同履行的作用。因此,定金的数额应少于合同应给付的款项,其具体数额由当事人约定,但不能超过主合同标的额的20%,超过部分无效。七、明确款项的性质,最好标明“定金”两字,以免发生争议如果合同中的款额未明确款项的性质,未写明“定金”字样,双方容易发生争议;如果写成“订金”、“诚意金”、“预付款”、“认购金”等字样,若合同条文又无明显约定表明其具有定金性质,则不具定金效力。八、合同中约定的预付款、违约金和定金不能混淆在合同中约定的预付款、违约金和定金不能混淆。并且合同中应约定主合同成立后,定金的使用方式是退回交付定金方还是冲抵主合同应当支付的款项。九、违约责任的约定应具有可操作性,以利于执行未能订立合同的过错方将承担定金罚则的风险。当事人约定以交付定金作为订立主合同担保的,给付定金的一方拒绝订立主合同的,无权要求返还定金;收受定金的一方拒绝订立合同的,应当双倍返还定金。十、合同中明确约定合同解除、终止条款应明确约定定金合同解除、终止的条款。如没有关于合同解除、终止或提前终止的条款,致使终止合同的条件不明确,将造成签订合同容易,解除合同困难的现状。因此,有关合同解除、终止和提前终止的条款应力求细化、全面。
