房屋合同纠纷是指房屋买卖过程中出现的纠纷,包括售房广告引发的纠纷、认购书相关的纠纷、房屋买卖合同价款支付相关纠纷、房屋交付相关的纠纷、延期办证的纠纷、惩罚性赔偿的纠纷、二手房买卖的纠纷、商品房买卖合同解除与房屋按揭关系的冲突与协调、有关包销的纠纷等。
一、法律规定解除情形合同解除的立法目的在于,给予一方当事人依照合同履行中出现了的法定事由,目的是防止因合同的履行而遭受重大损失提供的法律救济措施,以及违约方不应因合同的解除获得不当的利益。合同解除最重要的法律后果即“合同的权利义务终止”。最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》涉及合同解除的条文多达10条(详见最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释条款第八条、九条、十二条、十三条、十四条、十五条、十九条、二十三条、二十四条、二十五条)。结合审判实践,商品房买卖合同的解除之事由概括起来主要有以下几种:
1.协议解除;
2.根本违约;
3.迟延履行;
4.法律规定的其他情形。实际言之,最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释对后三种事由明确列举规定。根本违约:商品房买卖合同订立后,出卖人未告知买受人又将该房屋抵押给第三人;商品房买卖合同订立后,出卖人又将该房屋出卖给第三人;故意隐瞒没有取得商品房预售许可证明的事实或者提供虚假商品房预售许可证明;故意隐瞒所售房屋已经抵押的事实;故意隐瞒所售房屋已经出卖给第三人或者为拆迁补偿安置房屋的事实;房屋主体结构质量不合格;房屋质量问题严重影响正常居住使用的。迟延履行:出卖人迟延交付房屋或者买受人迟延支付购房款,经催告后在三个月的合理期限内仍未履行的;办理房屋所有权登记的期限届满后超过一年,由于出卖人的原因,引起买受人无法办理房屋所有权登记的。其他解除情形:面积误差比绝对值超出3%;商品房买卖合同约定,买受人以担保贷款方式付款、因当事人一方原因未能订立商品房担保贷款合同并引起商品房买卖合同不能继续履行的。
二、商品房买卖合同程序《最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》主要从实体上规定了解除商品房买卖的事由,对其解除程序则应依照我国合同法的规定处理。依照我国合同法第九十六条第一款规定:“主张解除合同的,应当通知对方。合同自通知到达对方时解除。”可知,行使商品房买卖合同解除权的一方应该履行通知的程序。假如通知已经送达,但对方提出异议之诉,主张合同解除的通知人对于合同解除的效力便处于不确定状态,须由法院裁判。
三、最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》第二十五条第二款的理解。商品房买卖合同的解除往往也就影响到后一个担保贷款法律关系的履行问题,然而,其是否必然引起解除商品房担保贷款合同呢司法最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释没有实际的直接规定,只是在第二十五条第二款规定了两个合同关系都被解除的法律后果,即“商品房买卖合同被确认无效或者被撤销、解除后,商品房担保贷款合同也被解除的,出卖人应当将收受的购房贷款和购房款的本金及利息分别返还担保权人和买受人”。对于该款,我们认为,商品房买卖合同的解除不必然逻辑地得出商品房担保贷款合同应该解除。后者是否解除仍然应该依照我国合同法及相关司法最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释来实际认定。假如借款人和贷款人都没有主张解除商品房担保贷款合同的,作为商品房担保贷款合同的保证人(卖方)提出解除商品房担保贷款合同缺乏法律依据。
处理房屋买卖合同纠纷的法律依据主要是《城市房地产管理法》、《土地管理法》、《合同法》、《物权法》、《城市房地产开发经营管理条例》、最高人民法院《关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》等相关规定。
